Explained: Decoding the Document

It’s not just a certificate; it’s your license to operate. We break down the difference between Main and Branch CRs, activity codes, and renewal rules.

The Core Definition

The Commercial Registration (CR) is the foundational legal document for any business in Saudi Arabia. Unlike the MISA license (which allows you to invest), the CR allows you to transact. It links you to the tax authority (ZATCA), labor office (Qiwa), and the banking system.

If you have read our Guide on the Registration Process, you know how to get a CR. But once you have the PDF in your hand (which is entirely in Arabic), what exactly are you looking at?

Understanding your CR is critical because mistakes here can block you from bidding on government contracts or hiring staff.

1. Main CR vs. Branch CR (The Sub-CR)

This is the most common confusion for new investors. Saudi Arabia uses a “Tree Structure” for companies.

Main CR

The “Headquarters” Document.

  • Validates the company name.
  • Holds the paid-up capital.
  • Usually located in Riyadh.

Branch CR (Sub-CR)

For Expansion & Activities.

  • Required for each new city.
  • Required for different activities.
  • No separate capital needed.

Example: If you are a Construction Company in Riyadh but want to open an office in Jeddah, you do not form a new company. You simply issue a Branch CR in Jeddah.

2. Decoding the Arabic Certificate

The CR is issued only in Arabic. Here is a translation of the key fields you must check immediately upon issuance:

النشاط التجاري Business Activity Must match your MISA license exactly.

3. The ISIC-4 Code System

The “Activity” field on your CR is not just text; it is a code based on the ISIC-4 International Standard.

If your CR says “General Trading” (Code 4690), you might be blocked from importing specific goods like Chemicals or Pharma. You need specific codes.

4. Renewal and Amendments

Your CR is not static. You will need to manage it.

  • Renewal: Can be done online via the Saudi Business Center. Cost is approx. 1,200 SAR/year.
  • Amendment: Changing your General Manager or Address requires a shareholder resolution and an amendment fee.

What happens if my CR expires?

It is a disaster chain reaction.
1. Your bank account freezes.
2. Your Qiwa (Labor) account suspends, so you can’t renew employee visas.
3. You incur fines from the Ministry of Commerce.
